TERMS AND CONDITIONS OF SALE

Acceptance:
Notwithstanding anything in Purchasers form of Purchase Order or other order form to the contrary, Purchasers acceptance of the merchandise shall constitute an affirmation by the Purchaser that the Terms and Conditions set forth herein govern the purchase and sale of the goods, and the terms in purchasers order forms that are in conflict with or are different from the Terms and Conditions herein shall have no effect on this transaction.

Prices:
All prices quoted are exclusive of taxes and freight charges. Any orders shipped to destinations within California must include applicable state tax, unless a current valid resale permit is on file.

Terms of Payment:
All goods are payable immediately upon receipt, unless otherwise arranged. Acceptable forms of payment are money order, cashier check, company check, Visa, MasterCard, and American Express, all in U.S. funds. Checks should be made payable to ASAP Technology, Inc. Handling fee $25.00 will be charged for returned or stop payment checks. Past due accounts are subject to a 30% APR finance charge (0.083% per day) plus collection and legal costs if incurred.

Delivery:
Shipment of all products shall be FOB at ASAP Technology, Inc. Purchaser shall inspect the products at the delivery and shall notify ASAP Technology of any defects and discrepancies within three days of receipt of products.

Title:
Title and risk of loss and damage to goods shall pass to Purchaser upon delivery to Carrier, Purchaser or Purchasers Agent at FOB point.

Limitation of Liability:
In no event shall ASAP Technology be liable for any loss of use, revenue, or anticipatory profit, or any direct, indirect consequential damages arising out of or connected with sale, use or operation of products sold.

Limited Warranty:
ASAP Technology warrants its products against any material and workmanship defects for one year from the date of invoice, except the following products: (a). TAYAMA and ASAP brand cameras, which carry two years warranty; (b). VCR heads, which carry 180 days warranty; (c). Special order or OEM products may carry different warranty period, which would be indicated in the invoice. Complete warranty and RMA information are stated in ASAP Technology Warranty & Returned Merchandise Policy. Within the specified warranty period, ASAP Technology will at its discretion to repair or replace all products that prove defective under normal use and service condition. Defects caused by misuse, abuse, negligence, accidents, modifications, and unauthorized repairs are not covered by this warranty. There are no warranties that extend beyond the description herein, either to the merchantability or fitness for a particular purpose. To request a warranty service, customer must first obtain a Return Authorization (RMA) number prior to returning the product. This warranty policy does not extend beyond the original purchaser.

Returns & Refunds:
Purchaser may request a refund within seven ( 7) days of receipt of the goods. Returns are subject to a restocking fee based on condition of returns and/or detailed guidelines in ASAP Technology, Inc. warranty & returned merchandize policy. Shipping charges and special orders are nonrefundable. Returns must be authorized, be in its original working condition, contain all original material, all necessary accessories, original packaging and ship back to ASAP Technology, Inc. within seven (7 ) days after a Return Merchandise Authorization (RMA) number being issued. Refund will only be issued with ASAP Technology, Inc.s company check. No credit card credit or cash refund. All orders are nonrefundable after seven (7) days of receipt of the goods.

Legal Status of Products:
It is the responsibility of the Purchaser, not ASAP Technology, to determine and comply with all federal, state and local laws and regulations in regard to the purchase, possession and use of all products offered. Purchaser assumes all liability or damage resulting from the use, misuse or unlawful use of any of the products offered.

Applicable Law:
The rights and obligation of the parties under this agreement shall be governed by and construed in accordance with the laws of the State of California, excluding its choice of law provisions. All disputes arising under or related to this agreement that are not settled by consents of the parties shall be litigated in the State or Federal Courts in the State of California.
